買賣雙方經(jīng)協(xié)商同意按下列條款成交：

買方未在規(guī)定的時間內(nèi)開出信用證，賣方有權(quán)發(fā)出通知取消本合同，或接受 買方對本合同未執(zhí)行的全部或部份，或?qū)σ虼嗽馐艿膿p失提出索賠。
The Buyer shall establish a Letter of Credit before the above-stipulated time， failing which， the Seller shall have the right to rescind this Contract upon the arrival of the notice at Buyer or to accept whole or part of this Contract non fulfilled by the Buyer， or to lodge a claim for the direct losses sustained， if any.

10. 品質(zhì)/數(shù)量異議 (Quality/Quantity discrepancy)：
如買方提出索賠，凡屬品質(zhì)異議須于貨到目的口岸之日起30天內(nèi)提出，凡屬 數(shù)量異議須于貨到目的口岸之日起15天內(nèi)提出，對所裝貨物所提任何異議于保險 公司、輪船公司、其他有關(guān)運輸機構(gòu)或郵遞機構(gòu)所負責(zé)者，賣方不負任何責(zé)任。
In case of quality discrepancy， claim should be filed by the Buyer within 30 days after the arrival of the goods at port of destination， while for quantity discrepancy， claim should be filed by the Buyer within 15 days after the arrival of the goods at port of destination. It is understood that the Seller shall not be liable for any discrepancy of the goods shipped due to causes for which the Insurance Company， Shipping Company， other Transportation Organization /or Post Office are liable.
11. 由于發(fā)生人力不可抗拒的原因，致使本合約不能履行，部分或全部商品 延誤交貨，賣方概不負責(zé)。本合同所指的不可抗力系指不可干預(yù)、不能避免且不 能克服的客觀情況。
The Seller shall not be held responsible for failure or delay in delivery of the entire lot or a portion of the goods under this Sales Contract in consequence of any Force Majeure incidents which might occur. Force Majeure as referred to in this contract means unforeseeable， unavoidable and insurmountable objective conditions.
12. 仲裁(Arbitration)：
因凡本合同引起的或與本合同有關(guān)的任何爭議，如果協(xié)商不能解決，應(yīng)提 交中國國際經(jīng)濟貿(mào)易仲裁委員會深圳分會。按照申請仲裁時該會當(dāng)時施行的仲裁 規(guī)則進行仲裁。仲裁裁決是終局的，對雙方均有約束力。
Any dispute arising from or in connection with the Sales Contract shall be settled through friendly negotiation. In case no settlement can be reached， the dispute shall then be submitted to China International Economic and Trade Arbitration Commission (CIETAC) ，Shenzhe Commission for arbitration in accordance with its rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties.
13. 通知(Notices)：
所有通知用___文寫成，并按照如下地址用傳真/電子郵件/快件送達給各方。如果地址有變更，一方應(yīng)在變更后___日內(nèi)書面通知另一方。

二、甲方權(quán)利與義務(wù)

4、必須保證所提供商品的商標(biāo)、品牌、所涉及的專利及專有技術(shù)符合有關(guān)知識產(chǎn)權(quán)之規(guī)定。
5、如該商品享受國家的出口退稅待遇，由乙方辦理退稅時，甲方需提供完整合法的增值稅專用發(fā)票。
三、乙方權(quán)利與義務(wù)
1、與甲方共同制定對外成交合同條款，并負責(zé)對外簽約。
2、隨時掌握備貨情況，負責(zé)接受國外客戶開出的以甲方為受益人的不可撤銷的信用證或以T/T方式匯來的貨款。
3、辦理出口貨物報關(guān)、報檢及制單結(jié)匯手續(xù)。
4、辦理出口收匯核銷手續(xù)。
5、如退稅由甲方辦理時，乙方需提供出口貨物報關(guān)單(退稅聯(lián))、出口發(fā)票和出口收匯核銷單(退稅聯(lián))。
6、乙方根據(jù)稅務(wù)局認定的退稅證明，可為甲方辦理出口退稅貸款。委托出口退稅貸款協(xié)議另行簽訂。
四、收費標(biāo)準(zhǔn)及結(jié)算方式
1、乙方按出口商業(yè)發(fā)票的'_________%收取委托手續(xù)費。
2、出口收匯后，乙方扣除委托手續(xù)費、報關(guān)、報檢費和其它應(yīng)收費用后與甲方結(jié)算。
3、經(jīng)雙方確認后，根據(jù)對方所提供的書面匯款指示以支票或匯票形式及時辦理結(jié)算。
五、其它未盡事宜雙方另行協(xié)商解決。
六、爭議的處理
1、本合同受中華人民共和國法律管轄并按其進行解釋。
2、本合同在履行過程中發(fā)生的爭議，由雙方當(dāng)事人協(xié)商解決，也可由有關(guān)部門調(diào)解;協(xié)商或調(diào)解不成的，按下列第_________種方式解決：

17人力不可抗拒因素：
由于水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭或協(xié)議一方無法預(yù)見、控制、避免和克服的其他事件導(dǎo)致不能或暫時不能全部或部分履行本協(xié)議，該方不負責(zé)任。但是，受不可抗力事件影響的'一方須盡快將發(fā)生的事件通知另一方，并在不可抗力事件發(fā)生15天內(nèi)將有關(guān)機構(gòu)出具的不可抗力事件的證明寄交對方。
Force Majeure：
Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.
18仲裁：
在履行協(xié)議過程中，如產(chǎn)生爭議，雙方應(yīng)友好協(xié)商解決。若通過友好協(xié)商未能達成協(xié)議，則提交中國國際貿(mào)易促進委員會對外貿(mào)易仲裁委員會，根據(jù)該會仲裁程序暫行規(guī)定進行仲裁。該委員會決定是終局的，對雙方均有約束力。仲裁費用，除另有規(guī)定外，由敗訴一方負擔(dān)。
Arbitration
All disputes arising from the execution of this agreement shall be settled through friendly consultations. In case no settlement can be reached, the case in dispute shall then be submitted to the Foreign Trad Arbitration Commission of the China Council for the Promotion of International Trade for Arbitration in accordance with its Provisional Rules of Procedure. The decesion made by this commission shall be regarded as final and binding upon both parties. Arbitration fees shall be borne by the losing party, unless otherwise awarded.
