Exclusive Right

基于本協(xié)議授予的獨家代理權(quán)，甲方不得直接或間接地通過乙方以外的渠道向代理區(qū)域顧客銷售或出口第三條所列商品，乙方不得在代理區(qū)域經(jīng)銷、分銷或促銷與上述商品相競爭或類似的產(chǎn)品，也不得招攬或接受以到代理區(qū)域以外的地區(qū)銷售為目的的訂單，在本協(xié)議有效期內(nèi)，甲方應(yīng)將其收到的來自代理區(qū)域其他商家的有關(guān)代理產(chǎn)品的詢價或訂單轉(zhuǎn)交給乙方。

In consideration of the exclusive rights granted herein, Party A shall not, directly or indirectly, sell or export the commodity stipulated in Article 4 to customers in territory

through channels other than Party B; Party B shall not sell, distribute or promote the sales of any products competitive with or similar to the above commodity in territory and shall not

solicit or accept orders for the purpose of selling them outside territory. Party A shall refer to Party B any enquiries or orders for the commodity in question received by Party A from other firms in territory during the validity of this agreement.

8. 廣告及費用

Advertising and Expenses

乙方負擔(dān)本協(xié)議有效期內(nèi)在銷售區(qū)域銷售代理商品做廣告宣傳的一切費用，并向甲方提交所用于廣告的聲像資料，供甲方事先核準。

A all audio and video materials intended for advertising for prior approval.

9. 工業(yè)產(chǎn)權(quán)

Industrial Property Rights

在本協(xié)議有效期內(nèi)，為銷售有關(guān)，乙方可以使用甲方擁有的商標，并承認使用于或包含于汽車漆中的任何專利商標、版權(quán)或其他工業(yè)產(chǎn)權(quán)為甲方獨家擁有。一旦發(fā)現(xiàn)侵權(quán)，乙方應(yīng)立即通知甲方并協(xié)助甲方采取措施保護甲方權(quán)益。

Party B may use the trade-marks owned by Party A for the sale of the Automobile paint covered herein within the validity of this agreement, and shall acknowledge that all patents, trademarks, copy rights or any other industrial property rights used or embodied in the

Automobile paint shall remain to be the sole properties of Party A. Should any infringement be found, Party B shall promptly notify and assist Party A to take steps to protect the latter's 2

rights.

11. 協(xié)議的終止

Termination

During the validity of this agreement, if either of the two parties is found to have violated the stipulations herein, the other party has the right to terminate this agreement.

12. 不可抗力

Force Majeure

由于水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭或協(xié)議一方無法預(yù)見、控制、避免和克服的其他事件導(dǎo)致不能或暫時不能全部或部分履行本協(xié)議，該方不負責(zé)任。但是，受不可抗力事件影響的一方須盡快將發(fā)生的事件通知另一方，并在不可抗力事件發(fā)生15天內(nèi)將有關(guān)機構(gòu)出具的不可抗力事件的證明寄交對方。

Either party shall not be responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.

檢驗和收貨

Inspection and Acceptance

在收到貨物后，經(jīng)銷商應(yīng)及時檢查貨物確定是否有貨物短缺、瑕疵和損壞。經(jīng)銷商應(yīng)在收到貨物后天內(nèi)書面通知供應(yīng)商索賠。在收到通知后天內(nèi)，供應(yīng)商應(yīng)調(diào)查貨物短缺、瑕疵和損壞的索賠，并通知經(jīng)銷商結(jié)果，如確認存在貨物在交付時短缺、瑕疵和損壞，供應(yīng)商應(yīng)予以更換。

Promptly upon the receipt of a shipment of Products, Distributor shall examine the shipment to determine whether any item or items included in the shipment are in short supply, defective or damaged. Within __________ days of receipt of the shipment, Distributor shall notify Supplier in writing of any shortages, defects or damage, which Distributor claims existed at the time of delivery. Within ______ days after the receipt of such notice, Supplier will

investigate the claim of shortages, defects or damage, inform Distributor of its findings, and

deliver to Distributor Products to replace any which Supplier determines, were in short supply, defective or damaged at the time of delivery.

13. 仲裁

Arbitration

因凡因本合同引起的或與本合同有關(guān)的任何爭議，均應(yīng)提交至甲方所在地的人民法院，按照申請仲裁時該會實施的仲裁規(guī)則進行仲裁。仲裁裁決是終局的，對雙方均有約束力。

Any dispute arising from or in connection with this contract shall be submitted to court where is Party A is located, which shall be conducted in accordance with the Commission's arbitration rules in effect at the time of applying for arbitration. 本協(xié)議于2011年 6月1日，由淄博澳森特塑業(yè)有限公司（一家根據(jù)中國法律組建并存在的公司，其主營業(yè)地在中國山東省淄博市，以下簡稱賣方）與XXX公司（一家根據(jù)南非法律組建并存在的公司，其主營地在南非，以下簡稱代理商）共同簽定并一致約定如下： This agreement is made and entered into on 2011-June-1 by and between Zibo Anthente Plastic Industry Co., Ltd. a corporation duly organized and existing under the the laws of People's Republic of China, with its principal place of business at Zibo City, Shandong, China (hereinafter called seller) and XXX a corporation duly organized and existing under the laws of South Africa, with its principal of business at South Africa (hereinafter called agent) , Whereby it's mutually agreed as follows:

第一條 委任與接受

在本協(xié)議有效期內(nèi)，賣方指定代理商為本協(xié)議第四條項下商品的獨家代理商，在第三條規(guī)定的區(qū)域內(nèi)招攬訂單。代理商同意并接受上述委任。

Article 1 Appointment and Acceptance

During the effective period of this agreement, seller hereby appoints agent as its exclusive agent to solicit orders for products stipulated in Article 4 from customers in the territory stipulated in Article 3 and agent accepts and assumes such appointment.

第二條 代理商的義務(wù)

代理商應(yīng)嚴格遵守賣方隨時給予的任何指令，而且不得代表賣方作出任何擔(dān)保、承諾以及訂立合同、協(xié)議或做其他對賣方有約束力的行為。對于代理商違反賣方指令或超出指令范圍的一切作為或不作為，賣方不承擔(dān)任何責(zé)任。

Article 2 Agent’s Duty

agent shall strictly conform with any and all instructions given by seller to agent from time to time and shall not make any representation, warranty, promise, contract, agreement or do any other act binding seller. seller shall not be held responsible for any acts or failures to act by agent in excess of or contrary to such instructions.

第三條 代理區(qū)域

本協(xié)議所指的代理區(qū)域是：南非（以下簡稱區(qū)域）

Article 3 Territory

the territory covered under this agreement shall be expressly confined to South Africa (hereinafter called Territory).

第四條 代理商品

本協(xié)議所指的代理商品是柔性集裝袋（以下簡稱商品）。

Article 4 Products

the products covered under this agreement shall be expressly confined to Flexible Intermediate Bulk Container – FIBC Bulk Bags (hereinafter called products).

第五條 獨家代理權(quán)

基于本協(xié)議授予的獨家代理權(quán)，賣方不得在代理區(qū)域內(nèi)，直接或間接地，通過其他渠道銷售、出口代理商品。代理商也不得在代理區(qū)域內(nèi)經(jīng)銷、分銷或促銷與代理商品類似或有競爭性的商品，也不能招攬或接受以向區(qū)域外銷售為目的的訂單。在本協(xié)議有效期內(nèi)，對來自區(qū)域內(nèi)其他顧客有關(guān)代理商品的訂單、詢價，賣方都應(yīng)將其轉(zhuǎn)交給代理商。

Article 5 Exclusive Right

in consideration of the exlusive right herein granted, seller shall not, directly or indirectly, sell or export products to Territory through other channel than agent and agent shall not sell, distribute or promote the sale of any products competitive with or similar to products in territory and shall not solicit or accept orders for the purpose of selling products outside territory. seller shall refer to agent any inquiry or order for products seller may receive from others in territory during the effective period of this agreement.

第六條 最低交易金額與價格

在本協(xié)議有效期內(nèi)，如果賣方通過代理商每年（12個月）從顧客處收到的貨款金額低于 XXXXXXX，則賣方有權(quán)提前30天書面通知代理商解除本協(xié)議。

賣方應(yīng)及時通知代理商最低價格及合同條款。

Article 6 Minimum Transaction and Price

in the event that during one year (12months) during the effective period of this agreement, aggregate payment received by seller from customers on orders obtained by agent under this agreement amounts to less than XXXX, seller shall have the right to terminated this agreement by giving thirty (30) days written notice to agent.

the seller shall from time to time furnish the agent with a statement of the minimum price and the terms and conditions of sales at which the good are respectively to be sold.

第七條 訂單

在招攬訂單時，代理商應(yīng)將賣方銷售合同的一般交易條件給顧客以充分通知，也應(yīng)告之顧客，任何合同的訂立都必須經(jīng)賣方確認。代理商應(yīng)將收到的訂單立即轉(zhuǎn)交賣方，由賣方確定接受與否。

賣方有權(quán)利拒絕履行或接受代理商轉(zhuǎn)交的訂單或訂單的一部分，而代理商對于被拒絕的訂單或其中一部分，無權(quán)要求傭金。

Article 7 Orders

in soliciting orders, agent shall adequately advise customers of the general terms and conditions of seller's sales note or contract note and of any contract being subject to the confirmation of acceptance by seller. agent shall immediately dispatch any order received to seller for its acceptanec or rejection.

the seller shall have the right to refuse to execute or accept any such orders or any part thereof and the agent shall not be entitled to any commission in respect of any such rejected order or part thereof refused.

第八條 費用分擔(dān)

除另有約定，所有費用和支出，如電訊費、差旅費以及其他相關(guān)銷售費用，都應(yīng)由代理商承擔(dān)。此外，代理商還應(yīng)承擔(dān)維持其辦公處所、銷售人員以及用于執(zhí)行賣方有關(guān)代理商義務(wù)的

所有指令而發(fā)生的費用。

Article 8 Expenses

all expenses and disbursements such as cabling, travelling and other expenses incurred in connection with the sale of products shall be for the account of agents, unless especially arranged. further agent shall, at his own expenses, maintain office(s), salesman and other sufficient for the performance of the obligation of agent in conformity with any and all instructions given by seller.

第九條 傭金

賣方接受代理商直接獲得的所有訂單后，應(yīng)按出廠價10%，以美元（貨幣）支付給代理商傭金。傭金在賣方收到全部貨款后每一個月以匯款方式支付。

Article 9 Commission

seller shall pay to agent commission in USD currency at the rate of 10% of the Ex works selling price of products on all orders directly obtained by agent accepted by seller, such commission shall by payable every one mointh only after seller receives the full amount of all paymnets due to seller, payments of such commission shall be made to agent by way of remittance.

第十條 商情報告

賣方和代理商都應(yīng)按季度或按對方要求提供市場報告，以盡可能促進商品銷售。代理商應(yīng)向賣方報告商品庫存情況、市場狀況以及其他商業(yè)活動。

Article 10 Information and Report

both seller and agent shall quarterly and/or on the request of either party furnish information and market report each other to promote the sale of products as much as possible. agent shall furnish to seller report of inventory, market situation and other commercial activities.

第十一條 促銷

在代理區(qū)域內(nèi)，代理商應(yīng)積極、充分地進行廣告宣傳以促進商品銷售。賣方應(yīng)向代理商提供一定數(shù)量的廣告印刷品、樣本、小冊子以及代理商合理要求的其他材料。

Article 11 Sales Promotion

agent shall diligently and adequately advertise and promote the sale of products throughout territory. seller shall furnish to agent reasonable quantity of advertising literatures catalogues, leafleats, and the like as agent may reasonable require.

第十二條 工業(yè)產(chǎn)權(quán)

在本協(xié)議有效期內(nèi)，代理商可以使用賣方的商標，但僅限于代理商品的銷售。本協(xié)議終止后，代理商銷售庫存的代理商品時，仍可使用賣方商標。代理商承認使用于或包含代理商品中的任何專利、商標、版權(quán)以及其他工業(yè)產(chǎn)權(quán)，都屬于賣方所有，并不得以任何方式提出異議。一旦發(fā)現(xiàn)侵權(quán)，代理商應(yīng)及時通知賣方，并協(xié)助賣方采取措施保護賣方的工業(yè)產(chǎn)權(quán)。 Article 12 Industrial Property Rights

第十三條 協(xié)議有效期

本協(xié)議經(jīng)雙方簽字生效。在本協(xié)議終止前至少3個月，賣方和代理商應(yīng)共同協(xié)商協(xié)議的延續(xù)。如雙方一致同意延續(xù)，本協(xié)議應(yīng)在上述各項條款（以及相關(guān)修改，若有的話）的基礎(chǔ)上，繼續(xù)有效一年。否則，本協(xié)議將于2012年6月1日終止。

Article 13 Duration

this agreement shall enter into force on the signing of both parties. at least three months before the expiration of the agreement, both seller and agent shall consult each other for renewal of this agreement0. if the renewal of this agreement is agreed upon by both parties, this agreement shall be renewed for another one year(s) period under the terms and conditions herein set forth, with a mendments, if agreed upon by both parties. unless this agreement shall expire on 2012-June-1.

第十四條 協(xié)議的中止

在本協(xié)議有效期內(nèi)，任何一方當(dāng)事人不履行協(xié)議或違反協(xié)議條款，雙方當(dāng)事人應(yīng)力爭及時、友好地解決爭議以期雙方滿意。如果在違反方接到書面通知后30日內(nèi)問題仍無法解決，非違約方有權(quán)終止本協(xié)議，由此造成的損失概由違約方承擔(dān)。此外，若協(xié)議一方發(fā)生破產(chǎn)、清算、死亡和/或被第三方重組，雙方均有權(quán)中止本協(xié)議。

Article 14 Termination

in case there is any non-performance and/or violation of the terms and conditions under this agreement by either party during the effective period of this agreement, the parties hereto shall do their best to settle the matter in question as prompt and amicable as posissble to mutual satisfaction. unless settlement should be reached within thirty days after notification in writing of the other party, such other party shall have the right to cancel this agreement and the loss and damages sustained thereby shall be indemnified by the party responsible for the non-performance and/or violation. further in case of bankruptcy or insolvency or liquidation or death and/or reorganization by the third party of the other party, either party have the right to terminate this agreement.

第十五條 不可抗力

任何一方對因下列原因?qū)е虏荒芑驎簳r不能履行全部或部分協(xié)議義務(wù)不負責(zé)任。這些原因包括：自然災(zāi)害、政府采購或禁令以及其他任何雙方在簽約時不能預(yù)料、無法控制且不能避免和克服的事件。受不可抗力影響的一方應(yīng)盡快地將發(fā)生的時間書面通知對方。

Article 15 Force Majeure

either party shall not be responsible for failure or delay to perform all or any part of the obligations under this agreement, which include: acts of god, government orders or restriction or any other events which could not be predicted at the time of the conclusion of the agreement and could not be controlled, avoided or overcome by the parties. however, the party effected by the event of force majeure shall inform the other party of its occurrence in written as soon as possible.

第十六條 貿(mào)易條件與合同準據(jù)法

本協(xié)議使用的貿(mào)易條件應(yīng)按INCOTERMS 2000解釋。本協(xié)議的有效性、締結(jié)及履行受中華人民共和國法律管轄。

Article 16 Trade Terms and Governing Law

the trade terms under this agreement shall be governed and interpreted under the provisions of INCOTERMS 2000 and this agreement shall be governed as to all matters including validity, construction, and performance under the laws of People's Republic of China.

第十七條 仲裁

對于因履行本協(xié)議發(fā)生的一切爭議，雙方應(yīng)友好協(xié)商解決。若無法協(xié)商解決，則應(yīng)提交中國國際經(jīng)濟貿(mào)易仲裁委員會（北京）根據(jù)其仲裁規(guī)則進行仲裁。仲裁裁決是最終的，對雙方均有約束力。仲裁費用應(yīng)由敗訴方承擔(dān)。

Article 17 Arbitration

all disputes arising from the performance of the agreement should be settled through friendly negotiations. should no settlement be reached trhough negotiation, the case shall be submiteted for arbitration to the China International Economic and Trade arbitration Commission (Beijing) and the rules of this commission shall be applied. the award of the arbitration shall be final and binding upon both parties. the arbitration fee shall be born by the losing party.

本協(xié)議由雙方代表簽字后生效，正本一式兩份，雙方個執(zhí)一份。
